1. Purpose of DOVA
DOVA is an ecommerce platform that enables verified business owners with EINs to offer products directly to consumers. DOVA provides marketplace infrastructure, payment processing, buyer protection through escrow systems, and customer access in exchange for commission fees.
DOVA Marketplace LLC (EIN: 39-3934942) operates as the platform provider and payment processor for all marketplace transactions.
2. Seller Requirements
You must maintain an active EIN and lawful business status in the United States. You are responsible for ensuring your business, products, and operations comply with all applicable federal, state, and local laws. You agree to maintain accurate inventory, pricing, and product descriptions.
3. Commission & Fees
DOVA will charge a 6% commission on the final sale price of every completed order. No per-item listing fees will be charged. No monthly membership fees will be charged. Commission will be automatically deducted before disbursement of Seller proceeds.
4. Amazon-Style Payment Hold System
Full Payment Hold: DOVA holds 100% of your sale proceeds until delivery confirmation + 7 days, following Amazon's proven marketplace model.
Delivery Confirmation Required: Payments are only released after confirmed delivery plus a 7-day buyer protection period.
Payout Timeline: Typically 14-21 days from order to seller payout, similar to Amazon's settlement cycle.
Fraud Protection: This system protects both buyers and DOVA from non-delivery, ensuring sellers fulfill orders before receiving payment.
Commission Deduction: The 6% commission is deducted when funds are released to your account.
5. Seller Obligations
Shipping & Fulfillment: Seller is solely responsible for timely shipping, delivery, and order fulfillment.
Product Authenticity: All items must be genuine, safe, and free from infringement. Counterfeit, stolen, illegal, or unsafe items are prohibited.
Customer Service: Seller is responsible for handling warranty, returns, and inquiries. DOVA provides mediation through our guarantee system but encourages direct seller-customer communication first.
Data Protection: Seller must not misuse customer information obtained through DOVA.
6. Prohibited Products
Sellers may not list items that are illegal, hazardous, counterfeit, infringing on intellectual property rights, or otherwise restricted under DOVA's policies. DOVA reserves the right to remove any listing that violates these rules.
7. Payments & Disbursement (Amazon Model)
Payment Hold System: 100% of sale proceeds are held until delivery confirmation + 7 days for maximum buyer protection.
Delivery Tracking: You must provide tracking information and confirm delivery before payment release.
Release Timeline: Funds are released 7 days after confirmed delivery, minus 6% commission.
Seller Protection: This system ensures legitimate transactions while protecting against fraudulent chargebacks.
Dispute Resolution: Held funds provide complete refund capability for legitimate buyer protection cases.
8. DOVA's Role & Liability
DOVA Marketplace LLC (EIN: 39-3934942) acts as a marketplace provider, payment processor, and buyer protection facilitator. DOVA is not a party to transactions between Buyers and Sellers. DOVA is not liable for product defects, late shipments, misrepresentations, or damages arising from Seller conduct. DOVA's liability to Seller is limited to the amount of commission fees retained for the specific transaction in question.
9. Indemnification
Seller agrees to indemnify, defend, and hold harmless DOVA, its officers, employees, and affiliates from any claims, damages, losses, liabilities, or expenses (including attorney fees) arising from: Products sold by Seller; Breach of this Agreement; Violation of laws or third-party rights.
10. Termination
DOVA reserves the right to suspend or terminate Seller accounts for violations of this Agreement, fraudulent conduct, or repeated poor performance. Sellers must fulfill outstanding accepted orders even after termination. Escrow funds will be released according to standard timelines.
